- INTRODUCTION
1.1 These Terms and Conditions (“Terms”) govern the use of the website vegatransport.in (“Website”) and all transportation and logistics services (“Services”) provided by Vega Transport India Private Limited (CIN: U52219KA2024PTC190658), a company incorporated under the Companies Act, 2013, having its registered office at 16-152(53) Industrial Area, Shivalli Village, Udupi, Karnataka – 576104 (“Vega Transport”, “we”, “us”, or “our”).
1.2 By accessing the Website or engaging our Services, you (“Customer”, “Client”, “User”, or “you”) agree to be bound by these Terms. If you do not agree to these Terms, please discontinue use of the Website and Services immediately.
1.3 For inquiries, complaints, or notices regarding these Terms, please contact us at the details provided in Section 24.
- DEFINITIONS
2.1 For the purposes of these Terms:
- “Consignee” means the person or entity to whom goods are to be delivered
- “Consignment” means goods entrusted to Vega Transport for transportation
- “Consignor” means the person or entity who delivers goods to Vega Transport for transportation
- “Freight” means the charges payable for transportation services
- “LR Number” means Lorry Receipt Number, a unique identifier for each consignment
- “Platform” means the Website and any mobile applications operated by Vega Transport
- “Transit” means the period during which goods are in the custody of Vega Transport
- SCOPE OF SERVICES
3.1 Vega Transport provides the following services throughout Karnataka and pan-India:
- Full Truckload (FTL) transportation
- Part Load (PTL) transportation
- Container truck services
- Single consignment and bulk load transportation
- Door-to-door logistics support
- Warehousing and storage solutions
- Household goods shifting
- Trailer load services
- Customized and integrated logistics solutions
- GPS-enabled real-time shipment tracking
3.2 Services under the brand “” (a unit of Vega Transport) are governed by these Terms unless specifically stated otherwise.
3.3 Vega Transport acts as a carrier and logistics service provider. We may engage sub-contractors, agents, or third-party carriers to fulfill service obligations.
- USER ELIGIBILITY
4.1 The Platform and Services are available only to:
- Individuals aged 18 years or above
- Business entities duly registered and authorized to contract under Indian law
- Persons with legal capacity to enter binding contracts
4.2 The Platform is not available to:
- Minors (persons under 18 years)
- Users previously suspended or terminated by Vega Transport
- Persons prohibited from using the Services under applicable law
4.3 By using the Platform, you represent and warrant that you meet the eligibility criteria and have the authority to bind your organization (if applicable) to these Terms.
- ACCOUNT REGISTRATION AND USAGE
5.1 Certain Services require account registration with accurate, complete, and current information including name, address, contact details, and business identification.
5.2 You are responsible for:
- Maintaining confidentiality of account credentials
- All activities conducted under your account
- Immediately notifying Vega Transport of unauthorized access or security breaches
5.3 Vega Transport reserves the right to suspend or terminate accounts providing false, inaccurate, incomplete, or misleading information without liability.
5.4 Corporate clients may be required to provide additional documentation including GST registration, PAN, address proof, and authorized signatory details.
- BOOKING AND ACCEPTANCE OF CONSIGNMENTS
6.1 Booking Process: Customers may book transportation services through:
- Direct contact at Vega Transport offices
- Telephone or email communication
- Website shipment tracking and booking interface via app
- Authorized agents and representatives
6.2 Acceptance of Goods: Vega Transport reserves the right to refuse acceptance of any consignment at its sole discretion, including but not limited to:
- Goods prohibited under applicable law
- Hazardous, dangerous, or restricted materials without proper authorization
- Perishable goods without appropriate packaging
- Goods inadequately packed or labeled
- Goods whose nature or value has been misrepresented
6.3 Lorry Receipt (LR): Upon acceptance of goods, Vega Transport shall issue a Lorry Receipt bearing a unique LR Number. The LR serves as:
- Acknowledgment of receipt of goods
- Evidence of the contract of carriage
- Document for tracking and claiming delivery
6.4 Customers are responsible for providing accurate details regarding the nature, value, quantity, weight, and dimensions of goods at the time of booking.
6.5 Special handling requirements must be communicated and agreed upon in writing before acceptance of consignment.
- FREIGHT CHARGES AND PAYMENT
7.1 Payment Currency: All payments must be made in Indian Rupees (INR) only.
7.2 Payment Methods: Vega Transport accepts payments through:
- Cash (subject to applicable limits under law)
- Cheque or Demand Draft
- Bank transfer (NEFT/RTGS/IMPS)
- Credit/Debit cards
- UPI and digital wallets
- Credit facilities (for approved corporate clients)
7.3 Freight Calculation: Freight charges are calculated based on:
- Weight and volume of consignment
- Distance and route
- Type of goods
- Mode of transportation
- Additional services (loading, unloading, warehousing, insurance)
- Fuel surcharges and applicable taxes
7.4 Invoicing: Vega Transport shall issue GST-compliant invoices for all services. Customers are responsible for providing correct GST details.
7.5 Payment Terms:
- For new customers: Payment in advance or at the time of booking unless credit terms are agreed
- For approved credit customers: Payment within agreed credit period (typically 7-30 days from invoice date)
- Overdue payments shall attract interest at 18% per annum or as agreed
7.6 Detention and Demurrage: Additional charges apply for:
- Vehicle detention beyond agreed free time at loading/unloading points
- Storage beyond free period at warehouses
- Re-routing or diversion requests
- Failed delivery attempts due to consignee unavailability
7.7 Vega Transport reserves the right to modify freight rates with reasonable notice. Modified rates apply to bookings made after the effective date of change.
7.8 All freight charges are exclusive of GST unless explicitly stated. Applicable GST shall be charged as per prevailing rates.
- DELIVERY TERMS AND CONDITIONS
8.1 Delivery Timeline: Estimated delivery timelines are indicative and subject to factors including distance, route conditions, weather, traffic, and regulatory requirements. Vega Transport shall make reasonable efforts to meet estimated timelines but does not guarantee delivery by a specific date unless expressly agreed in writing.
8.2 Delivery Verification: Delivery is deemed complete when:
- Goods are handed over to the consignee or authorized representative
- Consignee signs the delivery acknowledgment
- In case of door delivery, goods are placed at the designated address
8.3 Identification Requirements: The consignee must provide valid identification and proof of authorization to take delivery. Vega Transport reserves the right to refuse delivery if proper identification is not provided.
8.4 Delivery Failure: If delivery cannot be completed due to:
- Consignee unavailability or refusal to accept
- Incorrect or incomplete address
- Non-payment of freight charges (if payable by consignee)
- Any other reason attributable to consignee
Vega Transport may store goods at consignee’s risk and expense. Storage charges and re-delivery charges shall apply.
8.5 Unclaimed Goods: Goods remaining unclaimed for 30 days after arrival at destination may be:
- Returned to consignor at consignor’s expense
- Sold or disposed of after issuing notice, with proceeds applied toward freight and storage charges
- Disposed as per applicable legal requirements
- CUSTOMER OBLIGATIONS
9.1 Packaging: Customers must ensure that:
- Goods are properly and adequately packed to withstand normal transportation handling
- Fragile items are marked and specially packed
- Packaging complies with relevant standards and regulations
- Hazardous goods comply with applicable safety regulations
9.2 Documentation: Customers must provide:
- Accurate consignment details (description, quantity, value, weight)
- Invoices and packing lists
- Required permits, licenses, or certificates for restricted goods
- Consignee contact details and address
- Any special handling instructions
9.3 Prohibited Goods: Customers shall not tender for transportation:
- Contraband, illegal, or prohibited items
- Explosives, inflammables, or hazardous materials without authorization
- Narcotics or psychotropic substances
- Currency notes exceeding legal limits
- Arms and ammunition without proper licenses
- Goods infringing intellectual property rights
- Livestock or live animals (unless specifically agreed)
- Perishable goods without appropriate arrangements
- Any other barred by law or business choice at the discretion of Vega Transport
9.4 Declaration: Customers must truthfully declare the nature, value, and characteristics of goods. Misrepresentation may result in:
- Refusal to transport
- Additional charges
- Termination of Services
- Liability for losses or penalties incurred by Vega Transport
9.5 Insurance: Customers are responsible for obtaining adequate insurance coverage for goods in transit unless explicitly arranged through Vega Transport.
9.6 Loading and Unloading: Unless agreed otherwise, customers are responsible for loading goods onto vehicles at origin and unloading at destination. Vega Transport may provide loading/unloading services at additional charges.
- LIABILITY AND LIMITATIONS
10.1 Standard of Care: Vega Transport shall exercise reasonable care in the transportation and handling of goods. However, transportation involves inherent risks.
10.2 Limitation of Liability: Vega Transport’s liability for loss, damage, shortage, or non-delivery of goods is limited to:
- The declared value of goods (if declared and extra charges paid), OR
- Actual proven loss, whichever is LOWER
- Vega Transport’s total aggregate liability for any and all claims arising from a single consignment or related series of consignments shall not exceed ₹10,000 (Ten Thousand Rupees) or the freight charges paid for that consignment, whichever is lower.
10.3 Exclusions: Vega Transport shall not be liable for:
- Loss or damage due to:
- Act of God (floods, earthquakes, storms, lightning)
- Force majeure events (war, riots, strikes, civil commotion)
- Inherent nature or defect of goods
- Inadequate or improper packaging
- Latent defects not apparent on reasonable inspection
- Acts or omissions of consignor or consignee
- Pilferage from insufficiently packed goods
- Leakage, evaporation, or natural wastage
- Government action, confiscation, or detention by authorities
- Nuclear or radioactive contamination
- Delay in delivery unless gross negligence is proven
- Consequential, indirect, special, or punitive damages
- Loss of profits, business opportunity, or goodwill
- Damage to goods with undeclared or misrepresented value
10.4 Time Limit for Claims: All claims for loss, damage, shortage, or delay must be:
- Noted on the delivery receipt at the time of delivery, OR
- Submitted in writing within 7 days of delivery (for apparent loss/damage), OR
- Submitted in writing within 7 days of scheduled delivery date (for non-delivery)
Claims not submitted within these timelines are deemed waived and barred.
10.5 Insurance Coverage: Vega Transport maintains statutory insurance as required under the Motor Vehicles Act, 1988 and Carriage by Road Act, 2007. Additional insurance may be arranged at customer’s request and expense.
10.6 Right of Lien: Vega Transport has the right to retain and exercise lien over goods for:
- Unpaid freight charges
- Storage and handling charges
- Any other amounts due from consignor or consignee
Vega Transport may sell goods under lien after issuing notice, with proceeds applied toward outstanding dues.
- GPS TRACKING AND DATA USAGE
11.1 Vega Transport’s fleet is equipped with GPS tracking systems for enhanced security, monitoring, and customer service.
11.2 Customers may access real-time tracking information through the Website using their LR Number.
11.3 GPS data, shipment information, and related analytics are proprietary to Vega Transport and protected under applicable intellectual property and privacy laws.
11.4 By using tracking services, customers consent to the collection, processing, and storage of location and shipment data as per our Privacy Policy.
- INTELLECTUAL PROPERTY RIGHTS
12.1 Ownership: All content on the Platform, including but not limited to:
- Website/APp design, layout, graphics, and interface
- Logos, trademarks, service marks (“Vega Transport”, “”)
- Text, images, videos, and multimedia content
- Software, code, algorithms, and tracking systems
- Brochures, marketing materials, and documentation
are owned by Vega Transport India Private Limited and/or its licensors and protected by copyright, trademark, patent, and other intellectual property laws.
12.2 Trademarks: “Vega Transport”, associated logos, and all related marks are registered or common law trademarks. Unauthorized use is strictly prohibited.
12.3 Limited License: Vega Transport grants you a non-exclusive, non-transferable, revocable license to access and use the Platform for:
- Obtaining information about Services
- Booking transportation services
- Tracking shipments
- Communicating with Vega Transport
12.4 Restrictions: You may not:
- Copy, reproduce, distribute, modify, or create derivative works from any content
- Remove or alter copyright, trademark, or proprietary notices
- Use automated tools, bots, or scrapers to access or extract data
- Reverse engineer or decompile any software or technology
- Frame, mirror, or deep-link to the Platform without authorization
- Use Vega Transport’s intellectual property for commercial purposes without written consent
- PRIVACY AND DATA PROTECTION
13.1 Your use of the Platform is governed by our Privacy Policy, which explains how we collect, use, store, and protect personal information.
13.2 By using the Platform and Services, you consent to collection and processing of personal information in accordance with:
- Our Privacy Policy
- Information Technology Act, 2000 and Rules
- Digital Personal Data Protection Act, 2023
- Other applicable data protection laws
13.3 Vega Transport collects information including:
- Contact details (name, address, phone, email)
- Business information (GST, PAN, company details)
- Shipment details (consignor, consignee, goods description)
- Location and tracking data
- Payment and transaction information
13.4 Personal information is used for:
- Providing and improving Services
- Processing bookings and deliveries
- Customer communication and support
- Legal compliance and record-keeping
- Marketing communications (with consent)
13.5 Vega Transport implements reasonable security measures to protect data but cannot guarantee absolute security against unauthorized access, cyber-attacks, or data breaches.
13.6 With respect to personal information of third parties (consignees, employees) that you provide, you represent that you have obtained all necessary consents and authorizations for Vega Transport to process such information.
- PROHIBITED ACTIVITIES
You agree not to:
14.1 Use the Platform or Services for any unlawful purpose or in violation of these Terms.
14.2 Provide false, misleading, or fraudulent information regarding identity, goods, or transactions.
14.3 Tender prohibited, illegal, or undeclared goods for transportation.
14.4 Interfere with or disrupt the Platform, servers, networks, or security systems.
14.5 Attempt unauthorized access to systems, accounts, or data through hacking, password mining, or other means.
14.6 Upload or transmit viruses, malware, or malicious code.
14.7 Collect or harvest information about other users without authorization.
14.8 Impersonate any person, entity, or Vega Transport representative.
14.9 Defame, abuse, harass, threaten, or violate rights of Vega Transport or third parties.
14.10 Use automated tools or bots to access the Platform without permission.
14.11 Engage in any activity that could damage Vega Transport’s reputation or business interests.
14.12 Manipulate or forge documentation related to shipments, invoices, or deliveries.
- FORCE MAJEURE
15.1 Vega Transport shall not be liable for failure or delay in performing obligations under these Terms due to circumstances beyond reasonable control, including but not limited to:
- Acts of God (earthquakes, floods, cyclones, storms)
- Natural disasters and extreme weather conditions
- War, terrorism, civil unrest, riots, strikes, or lockouts
- Government actions, regulatory changes, or prohibitions
- Epidemic, pandemic, or public health emergencies
- Fire, explosion, or industrial accidents
- Telecommunications or power failures
- Road blockages, diversions, or infrastructure failures
- Fuel shortages or unavailability
15.2 During force majeure events, Vega Transport may:
- Suspend Services temporarily
- Store goods at consignor’s/consignee’s risk
- Re-route shipments with customer notification
- Extend delivery timelines
15.3 Vega Transport shall make reasonable efforts to notify customers of force majeure events and resume Services as soon as practicable.
- DISCLAIMERS
16.1 “As Is” Basis: The Platform and Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.
16.2 Vega Transport disclaims all warranties including:
- Merchantability and fitness for a particular purpose
- Non-infringement of third-party rights
- Accuracy, reliability, or completeness of information
- Uninterrupted, timely, secure, or error-free access
- Correction of defects or errors
16.3 Vega Transport does not warrant that:
- Services will meet specific delivery timelines
- The Platform will be free from bugs, viruses, or technical issues
- Tracking information will be real-time or completely accurate
- Third-party links or services will be reliable
16.4 No oral or written information or advice obtained from Vega Transport shall create any warranty not expressly stated in these Terms.
16.5 You assume full responsibility for risk of loss or damage to goods during transportation subject to the limitations in Section 10.
- INDEMNIFICATION
17.1 You agree to indemnify, defend, and hold harmless Vega Transport India Private Limited, its directors, officers, employees, agents, affiliates, contractors, and service providers from and against any and all:
- Claims, demands, actions, or proceedings
- Losses, damages, liabilities, costs, and expenses (including reasonable legal fees)
arising from or relating to:
17.2 Your use of the Platform or Services in violation of these Terms.
17.3 Your breach of any representation, warranty, or obligation under these Terms.
17.4 Tendering of prohibited, illegal, undeclared, or misrepresented goods.
17.5 Inadequate packaging or preparation of goods.
17.6 Violation of any third-party rights including intellectual property rights.
17.7 False or fraudulent information provided by you.
17.8 Any negligence, willful misconduct, or illegal acts by you or your representatives.
17.9 Claims by consignees or third parties arising from your acts or omissions.
17.10 Penalties, fines, or sanctions imposed by authorities due to your goods or conduct.
- TERMINATION
18.1 By Vega Transport: We may suspend or terminate your access to the Platform and Services immediately, with or without cause, with or without notice, including for:
- Breach of these Terms
- Provision of false or fraudulent information
- Non-payment of dues
- Engagement in prohibited activities
- Risk to safety, security, or reputation
- Legal or regulatory requirements
18.2 By Customer: You may discontinue use of the Platform at any time. However, you remain liable for:
- All pending shipments and associated charges
- Outstanding payment obligations
- Any liabilities arising before termination
18.3 Effect of Termination:
- Immediate cessation of Platform access
- No refund of freight charges for services rendered
- Continued liability for pending obligations
- Survival of clauses related to payment, liability, indemnification, and dispute resolution
18.4 Accessing the Platform after termination constitutes trespass and unauthorized access under Information Technology Act, 2000.
- MODIFICATIONS TO TERMS
19.1 Vega Transport reserves the right to modify, amend, or update these Terms at any time without prior notice.
19.2 Modified Terms shall be effective immediately upon posting on the Website. The “Last Updated” date at the top indicates the latest revision.
19.3 Your continued use of the Platform or Services after modifications constitutes acceptance of the revised Terms.
19.4 We recommend reviewing these Terms periodically to stay informed of changes.
19.5 Vega Transport may change, suspend, discontinue, or modify any aspect of the Platform or Services at any time without liability.
- GOVERNING LAW AND JURISDICTION
20.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of India, including but not limited to:
- Indian Contract Act, 1872
- Carriage by Road Act, 2007
- Motor Vehicles Act, 1988
- Information Technology Act, 2000
- Consumer Protection Act, 2019
- Goods and Services Tax Act, 2017
20.2 Jurisdiction: You expressly agree that any dispute, claim, or controversy arising out of or relating to:
- These Terms
- Use of the Platform or Services
- Any transaction or relationship with Vega Transport
shall be subject to the exclusive jurisdiction of the courts in Udupi, Karnataka, India.
20.3 All legal proceedings shall be conducted in English language.
20.4 By using the Platform, you irrevocably waive any objection to jurisdiction or venue in Udupi courts
- DISPUTE RESOLUTION
21.1 Negotiation: Any dispute arising from these Terms or Services shall first be attempted to be resolved through good faith negotiations between the parties within thirty (30) days of written notice of dispute.
21.2 Arbitration: If negotiations fail, the dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended).
21.3 Arbitration Terms:
- Number of arbitrators: One (1) sole arbitrator
- Appointment: Mutually agreed upon by parties; if no agreement within 15 days, appointed as per Arbitration Act
- Seat of Arbitration: Udupi, Karnataka
- Language: English
- Governing Law: Indian law
- Costs: As determined by the arbitral tribunal
21.4 The arbitral award shall be final and binding on the parties, subject only to statutory appeal rights under the Arbitration Act.
21.5 Nothing in this clause shall prevent Vega Transport from seeking urgent interim or injunctive relief from courts of competent jurisdiction.
- GENERAL PROVISIONS
22.1 Entire Agreement: These Terms, together with the Privacy Policy and any Service-specific agreements, constitute the entire agreement between you and Vega Transport and supersede all prior oral or written agreements, understandings, or representations.
22.2 Severability: If any provision of these Terms is found invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
22.3 Waiver: No failure or delay by Vega Transport in exercising any right or remedy shall constitute a waiver of that right. Any waiver must be in writing and signed by an authorized representative.
22.4 Assignment:
- You may not assign, transfer, or delegate your rights or obligations without Vega Transport’s prior written consent
- Vega Transport may assign or transfer its rights and obligations to any third party without restriction, including in case of merger, acquisition, or business transfer
22.5 Third-Party Rights: Nothing in these Terms confers any rights or benefits on third parties except as expressly provided.
22.6 Notices: All notices under these Terms must be in writing and sent to:

- Registered post: To registered office address
- Hand delivery: With acknowledgment
Notices are deemed received when delivered or 3 days after posting.
22.7 Relationship: These Terms do not create any partnership, joint venture, employment, or agency relationship between you and Vega Transport.
22.8 Language: These Terms are drafted in English. Any translation is for convenience only. In case of conflict, the English version prevails.
- INTELLECTUAL PROPERTY INFRINGEMENT COMPLAINTS
23.1 If you believe any content on the Platform infringes your intellectual property rights, notify us at [email protected] with:
- Description of the intellectual property claimed to be infringed
- Identification of infringing material and its location on the Platform
- Your contact information (name, address, telephone, email)
- Statement of good faith belief that use is unauthorized
- Statement that information in the notice is accurate
- Physical or electronic signature of the intellectual property owner or authorized representative
23.2 False or bad faith claims may result in termination of access and legal consequences including liability for damages.

- ACKNOWLEDGMENT AND ACCEPTANCE
25.1 By accessing the Website, booking Services, or tendering goods for transportation, you acknowledge that:
- You have read and understood these Terms
- You agree to be legally bound by these Terms
- You have the authority to accept these Terms on behalf of your organization (if applicable)
- You accept all risks and limitations outlined herein
25.2 If you do not agree with any part of these Terms, you must immediately cease use of the Platform and Services.
